Eligibility : Open only to legal residents of any one of the 50 United States or the District of Columbia who are 18 years of age or older at time of entry.

Promotion Period : You may enter the Contest between 12:00:01 a.m. Central Time (“CT”) on September 27, 2010 and 11:59:59 p.m. CT on November 15, 2010 (“Contest Period”).

Limit : Each individual Entrant is allowed a total of ten (10) Submissions, regardless of their Category designations.

Prize (s):

TEN (10) FINALIST PRIZES:  Each finalist prize (“Finalist Prize”) (5 from each Category) consists of $25,000 and a trip for two (2) (the Finalist and one (1) guest) to Texas for a private Super Bowl XLV party hosted by DORITOS® brand and PEPSI MAX® for all Finalists and their guests including round-trip coach air transportation for a verified Finalist and one (1) eligible guest (“Finalist’s Guest”) from a major gateway airport near Finalist’s residence within the U.S.; six (6) days/seven (7) nights double-occupancy hotel accommodations in Texas; and ground transportation to/from airport/hotel. Approximate retail value (“ARV”) of each Finalist Prize is $31,000.

SIX (6) GRAND PRIZES:  The six (6) Grand Prize Winners’ Submissions (three [3] per Category) will be aired during the Super Bowl XLV broadcast. There is no monetary value associated with the Grand Prize, however, in the event that any Grand Prize winner’s commercial is awarded one of the top 3 spots (including ties) according to the USA TODAY Ad Meter rankings, that Grand Prize Winner will receive a contingent bonus of $1,000,000 for the #1 spot, $600,000 for the #2 spot and $400,000 for the #3 spot. In addition, should these particular 3 Grand Prize Winners land in the top 3 spots of the Ad Meter, they will each receive an additional $1,000,000. In such event, the #1 spot winner will receive a total of $2,000,000; the #2 spot winner will receive a total of $1,600,000 and the #3 spot winner will receive a total of $1,400,000.

ONE (1) GRAND PRIZE CONSULTING OPPORTUNITY: The one (1) Finalist whose Submission places highest in the Ad Meter rankings, even if it does not place in one of the top 3 Ad Meter spots, will receive the option to consult for the DORITOS® and PEPSI MAX® teams and/or their advertising agency(ies) on an offsite, part-time, independent contractor basis to assist in the creation of an additional :30 second commercial that features BOTH DORITOS® brand/PEPSI MAX® products, which will be funded by the Sponsors according to a budget and schedule to be determined by Sponsors in their sole discretion (the “Extra Commercial”). Such Finalist shall have input into writing, production, casting, shoot location and direction, in cooperation with and subject to Sponsor’s ultimate approval of all aspects of the Extra Commercial. The Extra Commercial project will begin sometime after the Super Bowl and must be completed prior to December 31, 2011, in Sponsor’s discretion (the “Consulting Opportunity”). Such Finalist will receive a fee in the amount of $25,000 in consideration of the Consulting Opportunity. The Extra Commercial will be created on a work for hire basis, and such Grand Prize Winner must agree (a) to irrevocably grant to Sponsors and their agents the unconditional and perpetual right to post, display, publish, use, adapt, edit and/or modify such Extra Commercial in any way, in any and all media, for any purpose, without limitation, and without additional consideration; (b) to irrevocably assign and transfer to the Sponsors any and all rights, title and interest in Extra Commercial, including, without limitation, all copyrights and waive all moral rights in the Extra Commercial; and (c) agree to release and indemnify and hold harmless Sponsors and the Contest Parties from any and all claims that any commercial, advertising, presentation, Web content or any other material subsequently produced, presented, and/or prepared by or on behalf of Sponsors infringe on the rights of his/her work as contained in the Extra Commercial. All decisions regarding if, when or where to air the Extra Commercial shall be made solely by Sponsors, and Sponsor shall be solely responsible for media purchases for the Extra Commercial. The Extra Commercial is not eligible as a Submission in this or any future Crash the Super Bowl Contest. The Consulting Opportunity is not intended to interfere with or substitute for Grand Prize winner’s current employment or educational obligations or opportunities and is not to be construed as an offer of employment by either Sponsor or their agents. In the event that Grand Prize Winner is asked to travel as part of the Consulting Opportunity, Grand Prize Winner’s reasonable and necessary travel expenses will be reimbursed. Consulting Opportunity is subject to Grand Prize Winner entering into and complying with the terms of a consulting contract, which will include but not be limited to consultant agreeing that the relationship is a work-for-hire relationship and agrees to irrevocably assign and transfer to the Sponsors any and all rights, title, goodwill and interest in and to any work created by Grand Prize Winner in this Consulting Opportunity, including, without limitation, all copyrights, and waive all moral rights in such work as well as agreeing to a background check of Grand Prize Winner. If the consulting contract is not returned to Sponsors within the specified time, consultant shall forfeit their Consulting Opportunity and Sponsors shall have no further obligation to consultant in this Contest. It is understood and agreed that Sponsors shall, in their sole discretion, make edits, modifications and changes to the Extra Commercial. Consultant understands and agrees that Sponsors are providing Grand Prize Winner with an opportunity to create a work for hire without any obligation on the part of Sponsors to use the Extra Commercial. The value of the consulting contract will not be awarded in the event Grand Prize Winner does not accept or perform the Consulting Opportunity.
